MINKMAP TERMS OF SERVICE
Version 1.0 — Effective 29 June 2025

IMPORTANT: THIS IS A LEGALLY BINDING AGREEMENT. READ CAREFULLY.

This Terms of Service Agreement ("Agreement") governs your access to and use of the MinkMap website, desktop software, APIs, and related services (collectively, the "Service"), which are owned and operated by MinkMap Inc., a corporation based in Toronto, Ontario, Canada ("MinkMap," "Company," "we," "our," or "us").

By accessing, downloading, installing, or otherwise using any part of the Service, you acknowledge that you have read, understood, and agreed to be legally bound by this Agreement and our Privacy Policy, EULA, AUP, and other incorporated documents.

IF YOU DO NOT AGREE TO BE BOUND BY THIS AGREEMENT, YOU MAY NOT ACCESS OR USE THE SERVICE.

1. DEFINITIONS

"Service" means all MinkMap websites, software, applications, APIs, and tools.
"User", "you", or "your" refers to any individual or entity accessing or using the Service.
"Software" refers to any MinkMap desktop or mobile applications.
"Spoofing" refers to the simulation or alteration of geolocation data.
"Third-Party Platform" means any service such as Apple, Google, TikTok, Snapchat, Meta, or others.

2. SCOPE & PURPOSE

MinkMap is a developer simulation tool intended solely for lawful, ethical, and educational testing of GPS geolocation behaviors on devices.

MINKMAP IS NOT INTENDED FOR GENERAL CONSUMER USE. USE FOR GAMING, SOCIAL, COMMERCIAL OR MANIPULATIVE PURPOSES IS PROHIBITED.

3. ACCEPTANCE OF TERMS

You accept and agree to be bound by:

This Terms of Service;
The End User License Agreement (EULA);
The Privacy Policy;
The Acceptable Use Policy (AUP);
The Refund & Billing Policy;
Any additional rules or policies posted on our website or software.

These documents form the entire legal agreement between you and MinkMap.

3.1 BINDING ELECTRONIC CONSENT

By installing, accessing, or using any MinkMap service or tool, you affirmatively agree to be bound by these terms. If presented with an “I Agree” checkbox or prompt, clicking constitutes a legally enforceable digital signature pursuant to the Electronic Signatures in Global and National Commerce (ESIGN) Act and similar international laws.

4. ELIGIBILITY

You may only use the Service if:

You are at least 18 years old (or the age of majority in your jurisdiction);
You have the legal capacity to enter a binding agreement;
You are not located in a sanctioned jurisdiction or listed on any denied parties list.

Use by persons under the applicable age is strictly prohibited.

5. LICENSE GRANT

We grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to use the Service for lawful developer testing purposes only.

This license does not transfer ownership. All rights not expressly granted are reserved.

6. PROHIBITED USES

You shall NOT use the Service to:

Violate any applicable law or regulation;
Interfere with or breach the terms of service of any third-party platform;
Cheat, defraud, harass, impersonate, or deceive;
Access, hack, or reverse-engineer the Software or any related systems;
Bypass platform geofencing, moderation, detection, or access control systems;
Distribute malware, conduct scraping, or mass data collection;
Use for personal advantage (dating, gaming, financial gain) outside of permitted development.

Violations may result in account suspension, legal action, and full financial liability.

7. ACCOUNT REGISTRATION

You must:

Provide accurate, current, and complete registration information;
Maintain the confidentiality of your credentials;
Notify us of any unauthorized access;
Be solely responsible for all activities under your account.

We reserve the right to suspend or delete accounts suspected of abuse.

8. DISCLAIMERS

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND.

WE EXPRESSLY DISCLAIM:

ALL WARRANTIES, EXPRESS OR IMPLIED;
THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE;
THAT THE SERVICE WILL BE COMPATIBLE WITH ALL DEVICES OR PLATFORMS;
THAT USE WILL NOT RESULT IN THIRD-PARTY ACCOUNT BANS OR PENALTIES.

You use MinkMap entirely at your own risk.

9. PLATFORM RISK DISCLOSURE

You acknowledge that:

Use of MinkMap may breach the terms of service of third-party apps/platforms;
MinkMap is not affiliated with, endorsed by, or partnered with Apple, Google, TikTok, Snapchat, or any other platform;
Your actions may result in platform bans, penalties, or legal complaints;
You assume full responsibility for any third-party consequences.

10. INDEMNIFICATION

You agree to fully indemnify, defend, and hold harmless MinkMap, its officers, directors, employees, contractors, licensors, and affiliates from and against any and all claims, damages, losses, liabilities, legal actions, regulatory penalties, and costs (including attorney fees) arising from:

Your use or misuse of the Service;
Your violation of this Agreement or any applicable law;
Your breach of any third-party service terms;
Your infringement of intellectual property rights;
Your misconduct or fraud.

This clause survives termination.

11. LIMITATION OF LIABILITY

To the fullest extent permitted by law:

We are not liable for any indirect, incidental, special, punitive, or consequential damages;
We are not liable for loss of data, revenue, profits, device damage, account termination, or legal exposure;
Our total liability in any matter is limited to the amount paid by you in the last 12 months, or $100 CAD — whichever is less.

12. BETA FEATURES

Any beta features or test functions are offered "AS IS" and may be withdrawn at any time without notice or liability.

13. PRICING & SUBSCRIPTIONS

MinkMap pricing:

3-day free trial (one-time per account/device);
$5.99/month (auto-renewed unless cancelled);
$59.99/year (auto-renewed unless cancelled).

Pricing is subject to change at our sole discretion.
We will notify you of pricing changes with at least 15 days’ notice via email or in-app alert. Continued use after notice constitutes acceptance.

14. TERMINATION

We may terminate or suspend access to the Service at any time, for any reason, with or without notice.
You may cancel your account via the platform or support email.

Sections relating to indemnity, limitation of liability, disclaimers, and legal enforcement shall survive termination.

15. MODIFICATION OF TERMS

We may revise this Agreement at any time.

We will provide 15 days’ notice before changes take effect;
Material changes will be posted on our site or emailed to you;
Continued use after the effective date signifies your acceptance.

We may amend this Agreement from time to time by publishing updates on our website or delivering notice via the software interface. Material changes will be communicated with at least 30 days’ notice where feasible. Continued use after the effective date of changes constitutes binding acceptance of the updated terms.

16. GOVERNING LAW & DISPUTE RESOLUTION

This Agreement is governed by the laws of the Province of Ontario, Canada.
Any disputes arising out of or relating to the Service shall be resolved by binding arbitration through the Canadian Arbitration Association in Toronto, Ontario.

Class actions and jury trials are waived to the fullest extent permitted by law.

17. SEVERABILITY

If any part of this Agreement is held invalid, the rest shall remain fully enforceable.

18. ENTIRE AGREEMENT

This Agreement, along with all incorporated policies, constitutes the entire agreement between you and MinkMap regarding the Service and supersedes any prior agreements.
