MINKMAP END USER LICENSE AGREEMENT (EULA)
Version 1.0 — Effective 29 June 2025

IMPORTANT: THIS IS A LEGAL CONTRACT BETWEEN YOU AND MINKMAP INC.

PLEASE READ CAREFULLY. BY INSTALLING, DOWNLOADING, ACCESSING, OR USING THE MINKMAP SOFTWARE ("SOFTWARE"), YOU (“USER”) AGREE TO BE LEGALLY BOUND BY THIS END USER LICENSE AGREEMENT ("EULA"). IF YOU DO NOT AGREE TO THE TERMS, DO NOT INSTALL OR USE THE SOFTWARE.

This EULA governs your use of the MinkMap desktop and mobile software ("Software"), provided by MinkMap Inc., an Ontario corporation (“MinkMap,” “we,” “us,” or “our”).

1. LICENSE GRANT

MinkMap grants you a limited, non-exclusive, non-transferable, revocable license to:

Download, install, and use one copy of the Software on a single personal device that you own or control;
Use the Software solely for lawful developer testing, simulation, or research purposes.

You may not rent, lease, loan, sell, sublicense, distribute, publish, or publicly display the Software.

2. DEVELOPER TOOL ONLY

This Software is a developer tool, intended for ethical testing and simulation of virtual location data. You acknowledge that:

The Software is not designed, marketed, or sold for gaming, dating, social engineering, navigation, surveillance, or any commercial end-user manipulation;
Use in violation of third-party platform rules is your sole responsibility;
You assume all consequences arising from misuse or misrepresentation of simulated data.

3. PROHIBITED USES

You agree NOT to:

Use the Software to deceive, defraud, impersonate, exploit, or harm any person or entity;
Violate local, national, or international laws, regulations, or sanctions;
Use the Software in a commercial spoofing service, cheating platform, or for resale;
Interfere with or violate any third-party terms of service, including but not limited to Apple, Google, Snapchat, Instagram, TikTok, Facebook, Niantic, or any government service;
Reverse-engineer, decompile, disassemble, or derive source code from the Software;
Circumvent security features, licensing restrictions, or copy protection systems;
Upload the Software to any public or private code repository or file-sharing site.

ANY UNAUTHORIZED USE SHALL RESULT IN AUTOMATIC TERMINATION OF THIS LICENSE.

4. INTELLECTUAL PROPERTY

The Software, its source code, architecture, graphics, documentation, trademarks, and all related intellectual property are owned exclusively by MinkMap.

You do not gain ownership or proprietary rights through use of the Software.

5. UPDATES AND MODIFICATIONS

MinkMap may, at its sole discretion:

Provide software updates, patches, improvements, or new features;
Automatically apply updates without your approval;
Modify or remove features without notice or liability.

You agree that updates are subject to this EULA unless accompanied by new terms.

6. TERMINATION

This EULA remains in effect unless and until terminated by you or MinkMap.

You may terminate it by deleting the Software from all devices;
MinkMap may terminate it without notice if you breach any term of this EULA;
Upon termination, you must delete and destroy all copies of the Software.

Sections 4, 7, 8, 9, and 10 survive termination.

7. WARRANTY DISCLAIMER

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES, EXPRESS OR IMPLIED.

WE EXPRESSLY DISCLAIM ALL WARRANTIES INCLUDING BUT NOT LIMITED TO:

FITNESS FOR A PARTICULAR PURPOSE;
MERCHANTABILITY;
ACCURACY OR RELIABILITY;
NON-INFRINGEMENT;
CONTINUOUS AVAILABILITY OR FUNCTIONALITY;
COMPATIBILITY WITH FUTURE OPERATING SYSTEMS OR DEVICES;
ABILITY TO BYPASS GEOLOCATION OR DEVICE DETECTION SYSTEMS.

USE OF THE SOFTWARE IS ENTIRELY AT YOUR OWN RISK.

8. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

IN NO EVENT SHALL MINKMAP BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, EXEMPLARY, OR CONSEQUENTIAL DAMAGES;
THIS INCLUDES LOSS OF DATA, LOSS OF PROFITS, DEVICE DAMAGE, THIRD-PARTY ACCOUNT BANS, OR LEGAL ACTIONS;
OUR TOTAL LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE GREATER OF CAD $100 OR THE AMOUNT YOU PAID FOR THE SOFTWARE IN THE LAST 12 MONTHS.

9. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless MinkMap, its employees, officers, affiliates, contractors, and licensors from and against any and all claims, damages, losses, legal fees, penalties, and liabilities arising from:

Your violation of this EULA;
Your violation of any law or regulation;
Your violation of third-party rights;
Your misuse or unauthorized use of the Software;
Your use resulting in legal disputes or regulatory complaints.

You are solely responsible for defending any such claims.

10. EXPORT & SANCTIONS COMPLIANCE

You represent and warrant that you:

Are not located in a country under Canadian, U.S., UK, or EU embargoes or trade restrictions;
Are not on any government sanctions list;
Will not export or transfer the Software to prohibited persons or regions.

Violation of export laws will result in immediate license termination and may be reported to appropriate authorities.

11. GOVERNING LAW & JURISDICTION

This Agreement is governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada.
Any dispute shall be resolved by binding arbitration in Toronto, Ontario, administered under the Canadian Arbitration Association.

Class actions are expressly waived.

12. ENTIRE AGREEMENT

This EULA constitutes the complete and exclusive agreement between you and MinkMap with respect to the Software and supersedes all prior agreements, representations, and understandings.

If any section is deemed unenforceable, the remainder remains in full force and effect.

MINKMAP ACCEPTABLE USE POLICY (AUP)

IMPORTANT: READ CAREFULLY. THIS DOCUMENT DEFINES YOUR OBLIGATIONS.

This Acceptable Use Policy (“AUP”) outlines the rules and restrictions that govern your use of the MinkMap services, including all related software, websites, APIs, networks, and tools (collectively, the “Service”) offered by MinkMap Inc. (“MinkMap,” “we,” “us,” or “our”).

This AUP is incorporated by reference into our Terms of Service ("ToS"), End User License Agreement ("EULA"), Privacy Policy, and all other binding legal agreements.

1. PURPOSE

MinkMap provides geolocation simulation and developer testing tools for lawful, ethical, and research-related purposes.

YOU MAY ONLY USE MINKMAP FOR LEGITIMATE DEVELOPMENT, DEBUGGING, TESTING, OR EDUCATIONAL PURPOSES.

2. PROHIBITED USES

You may not use the Service for any activity that:

A. VIOLATES THE LAW

Violates any applicable local, provincial, state, federal, national, or international law, regulation, or ordinance;
Uses the Service to commit fraud, impersonation, harassment, or surveillance;
Facilitates criminal activity or unauthorized access to networks or systems;
Violates sanctions or export control regulations.

B. VIOLATES PLATFORM TERMS

Interferes with or circumvents any terms of service or technical protections used by third-party platforms (including Apple, Google, TikTok, Snapchat, Instagram, Meta, Niantic, etc.);
Simulates false location data for deceptive access to location-gated features or services;
Enables access to geo-restricted content, promotional events, or gaming advantages in a manner that breaches platform policies.

C. HARMS OTHERS OR THE SYSTEM

Attempts to exploit, harm, or deceive individuals or businesses;
Distributes malware, spyware, ransomware, viruses, or unauthorized code;
Attempts to gain unauthorized access to any system, device, data, or network;
Uses automated scripts, scrapers, bots, or crawlers without our prior written consent;
Deploys excessive requests or causes network strain, denial-of-service, or performance degradation.

D. ABUSES INTELLECTUAL PROPERTY

Infringes upon intellectual property rights, including trademarks, copyrights, or trade secrets;
Circumvents digital rights management (DRM), copy protection, or licensing systems.

E. ENGAGES IN DECEPTIVE PRACTICES

Uses the Service for manipulation, deception, catfishing, social engineering, or gaming exploits;
Publicly promotes illegal or unethical uses of the Software.

3. USER RESPONSIBILITIES

By using MinkMap, you agree that:

You alone are responsible for how the Software is used on your devices;
You are responsible for compliance with all third-party agreements;
You understand that misuse may lead to civil, administrative, or criminal consequences;
You will not authorize others to use your account for prohibited activities;
You will report any security breach or abuse to us immediately.

4. ENFORCEMENT RIGHTS

We reserve the right, but are not obligated, to:

Investigate suspected violations of this AUP;
Audit usage patterns, logs, or metadata for compliance;
Suspend or terminate your access without prior notice;
Block, throttle, or restrict access from specific devices, IPs, or networks;
Remove content or data that we reasonably believe violates this AUP;
Cooperate with legal authorities and disclose information as required by law.

Violation of this AUP may result in:

Immediate suspension or termination of your account;
Permanent bans from MinkMap services;
Notification to third-party platforms, regulators, or law enforcement;
Legal proceedings to recover damages and associated costs.

5. ZERO TOLERANCE CLAUSES

The following activities result in immediate, irreversible suspension:

Use of MinkMap in fraud schemes or organized cheating platforms;
Sale or resale of MinkMap spoofed locations or screenshots;
Use of MinkMap for deception in dating apps, financial fraud, immigration fraud, or government impersonation;
Distribution of cracked, pirated, or modified versions of MinkMap.

6. YOUR LIABILITY

You agree that you are fully responsible for all uses of the Service under your account, regardless of intent, negligence, or ignorance. You further agree to:

Indemnify MinkMap for all claims, damages, fines, or penalties arising from misuse;
Hold MinkMap harmless from any regulatory, civil, or criminal action brought against you;
Reimburse MinkMap for legal and investigation costs associated with enforcing this AUP.

7. NO LIABILITY OR WARRANTY

MinkMap is not liable for:

Any harm resulting from the misuse of the Software;
Platform bans, feature suspensions, account terminations, or user lockouts caused by spoofing;
Service interruptions, downtime, or data loss from enforcement measures.

8. CHANGES TO THIS POLICY

We may update this AUP at any time. Updates will be effective upon posting on our website or app. Continued use of the Service constitutes acceptance.

10. GOVERNING LAW

This AUP is governed by the laws of Ontario, Canada. Any dispute shall be resolved via arbitration as outlined in our ToS.

BY USING MINKMAP, YOU CERTIFY THAT YOU HAVE READ, UNDERSTOOD, AND AGREED TO THIS ACCEPTABLE USE POLICY IN FULL.

MINKMAP REFUND & BILLING POLICY
Version 1.0 — Effective 29 June 2025

THIS POLICY GOVERNS ALL PAYMENTS, PRICING, REFUNDS, CHARGEBACKS, SUBSCRIPTIONS, AND BILLING-RELATED MATTERS BETWEEN YOU AND MINKMAP INC.

This Refund & Billing Policy (“Policy”) forms an integral part of the MinkMap Terms of Service ("ToS"), End User License Agreement ("EULA"), and all other binding agreements between the user (“you,” “your”) and MinkMap Inc. (“MinkMap,” “we,” “us,” or “our”).

1. BILLING MODEL & PRICING STRUCTURE

MinkMap offers a subscription-based model:

Free Trial: 3-day free trial (one-time per account, per device)
Monthly Plan: $5.99 USD/month (auto-renews)
Yearly Plan: $59.99 USD/year (auto-renews)

You authorize us to charge your provided payment method automatically at the end of each billing cycle, unless you cancel your subscription in advance via your account portal.

All charges are in U.S. Dollars (USD) unless otherwise indicated.

2. RIGHT TO CHANGE PRICING & FEES

MinkMap reserves the absolute, unilateral, and non-negotiable right to:

Modify subscription fees, pricing tiers, or billing cycles;
Add, remove, or reclassify plans and features;
Apply regional taxes, transaction fees, or currency adjustments.

NOTICE OF CHANGES

We will notify you of pricing changes by:

Email, or
In-app announcement, or
Website notice (e.g., minkmap.com/pricing).

We will provide at least 15 days’ notice before such changes take effect.

Your continued use after the effective date constitutes full, binding acceptance of the updated pricing.

NO LIABILITY FOR PRICE CHANGES

You agree that:

We are not liable for any cost increases or feature modifications;
You waive any claim to compensation, damages, credits, or refunds resulting from a change in pricing;
You acknowledge and accept that prices are dynamic and subject to change without your prior consent.

3. REFUND POLICY

MinkMap maintains a strict no-refund policy, subject to limited exceptions outlined below.

Refunds will not be issued for:

Failure to cancel before auto-renewal;
Unused subscription periods;
Platform bans or app incompatibility after payment;
Misunderstanding the purpose of the Software (developer tool only);
User violation of Terms, AUP, or EULA;
Technical issues due to your environment (OS, drivers, device conflicts);
Purchases made with invalid or fraudulent payment credentials.

EXCEPTIONS (RARE)

Refunds may be considered only if:

You were charged multiple times in error for the same subscription period;
The Software failed to deliver core functionality for over 72 consecutive hours due to a verified server-side outage caused solely by MinkMap.

All refund decisions are at the sole discretion of MinkMap and are final.

4. CHARGEBACKS & DISPUTES

Initiating a chargeback or payment reversal without first contacting us at contactus@minkmap.com is considered a violation of this Policy.

We reserve the right to:

Immediately suspend or terminate your account;
Report fraudulent activity to payment processors and legal authorities;
Pursue damages, legal fees, and collection costs associated with improper disputes.

We encourage you to contact us to resolve any billing concerns before initiating a dispute.

5. CANCELLATION & AUTO-RENEWAL

Subscriptions auto-renew by default unless canceled at least 24 hours before renewal date.
You may cancel anytime through your billing dashboard.
Canceling prevents future charges but does not trigger a refund for the current billing period.

You are solely responsible for managing your subscription and tracking billing dates.

6. TAXES & FOREIGN FEES

Depending on your location, additional charges may apply:

Sales/VAT/GST taxes based on jurisdictional requirements;
Currency conversion fees or international processing charges from your bank.

These charges are set by governments and financial institutions, not MinkMap.
We are not liable for additional fees imposed by your payment provider.

7. PAYMENT PROCESSORS

All payments are handled by third-party providers (e.g., Stripe). By subscribing to MinkMap, you also agree to the terms of those processors.

We do not store or process full credit card data.

8. BILLING COMMUNICATION

We will communicate billing matters via:

The email address associated with your account;
In-app notifications;
Our public billing page (minkmap.com/billing-policy).

You agree to receive billing notices electronically. We are not responsible for missed communications due to outdated or misconfigured contact information.

9. LIMITATION OF LIABILITY

To the maximum extent permitted by law:

MinkMap is not liable for losses arising from billing errors, account misuse, missed cancellations, price increases, or third-party actions;
Our total liability is limited to the lesser of (a) $100 USD or (b) the amount you paid in the past 12 months.

10. GOVERNING LAW

This Policy is governed by the laws of Ontario, Canada. Disputes shall be resolved exclusively through binding arbitration per our ToS.

MINKMAP INDEMNIFICATION AGREEMENT & LIABILITY WAIVER

IMPORTANT: THIS IS A LEGAL WAIVER OF CLAIMS AND LIABILITY. READ CAREFULLY.

This Indemnification Agreement and Liability Waiver (the “Agreement”) is entered into by and between the end user (“User,” “you,” or “your”) and MinkMap Inc., a Canadian corporation with headquarters in Toronto, Ontario (“MinkMap,” “we,” “us,” or “our”).

By accessing, installing, or using any part of the MinkMap software, website, developer tools, or services (“Service”), you voluntarily, knowingly, and irrevocably agree to the terms of this Agreement.

1. PURPOSE

This Agreement is intended to:

Clearly shift all legal and financial responsibility for misuse of the Service to the User;
Waive MinkMap’s liability for damages, claims, third-party disputes, and regulatory actions;
Mandate indemnification in the event of legal or platform consequences related to User conduct.

2. ACKNOWLEDGMENT OF USE RISK

You acknowledge and accept that:

MinkMap is a developer simulation tool not intended for general consumer, gaming, dating, or social manipulation purposes;
Use of MinkMap may breach the terms of third-party services (e.g., Apple, Google, TikTok, Snapchat, Meta, Niantic);
MinkMap does not guarantee any outcome, result, platform compatibility, or continued access;
You bear full and sole responsibility for all use or misuse of the Service.

3. GENERAL WAIVER OF LIABILITY

To the maximum extent permitted by law, you irrevocably waive and release any and all actual or potential claims, demands, actions, or causes of action of any kind against MinkMap, including its:

Officers, employees, directors, shareholders, affiliates, developers, contractors, agents, vendors, successors, or assigns;
Past, present, and future entities related to MinkMap.

This waiver includes but is not limited to:

Personal injury or death;
Property damage;
Loss of data, access, or third-party platform accounts;
Suspension, bans, takedowns, or restrictions from any external service;
Financial loss, reputational harm, or civil/criminal liability;
Class actions, group litigation, or regulatory complaints;
Use of spoofed, simulated, or manipulated GPS data.

4. COMPLETE INDEMNIFICATION OBLIGATIONS

You agree to fully indemnify, defend, and hold harmless MinkMap from any and all:

Claims, complaints, or lawsuits (individual or class);
Investigations or audits (regulatory or private);
Injunctions, subpoenas, fines, or cease-and-desist orders;
Penalties, settlements, judgments, or legal fees.

Including those arising from:

Your breach of any law, regulation, or ordinance;
Your breach of this or any MinkMap agreement (ToS, EULA, AUP);
Your breach of a third-party terms of service or usage policy;
Your negligence, recklessness, or willful misconduct;
Your intentional or accidental misuse of the Service.

You shall provide immediate legal and financial defense at your own expense upon demand.

5. SCOPE OF WAIVER

This waiver applies to all legal systems and jurisdictions, including:

Tort, contract, negligence, strict liability, consumer protection, product liability, and equity-based claims;
Common law and civil code systems;
U.S., Canadian, EU, UK, Asian, South American, African, and international law.

6. BINDING NATURE & SURVIVAL

This Agreement:

Is legally binding and enforceable under Canadian and international law;
Survives termination of your use of the Service;
Binds your successors, legal representatives, beneficiaries, agents, and assigns.

7. LIMITATION OF LIABILITY

To the fullest extent permitted by law:

MinkMap’s total aggregate liability shall not exceed $100 CAD or the amount paid by you in the last 12 months, whichever is less;
We are not liable for incidental, indirect, consequential, punitive, or exemplary damages, regardless of theory.

This limitation applies even if MinkMap was advised of the possibility of such damages.

8. NO WARRANTIES

You expressly understand and agree that:

The Service is provided “as is” and “as available” with no guarantees of functionality or compatibility;
We make no warranties, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement;
Platform stability, third-party access, and spoofing capabilities may vary and are outside our control.

9. COOPERATION CLAUSE

You agree to:

Fully cooperate with MinkMap in responding to legal threats, subpoenas, takedown requests, or governmental inquiries;
Promptly provide requested documentation or testimony in defense of any claim;
Reimburse all associated expenses within 15 calendar days of invoice.

10. GOVERNING LAW & DISPUTE RESOLUTION

This Agreement is governed by the laws of the Province of Ontario, Canada.

All disputes shall be:

Resolved by binding arbitration in Toronto, Ontario;
Administered by the Canadian Arbitration Association;
Conducted confidentially with no public record.

You expressly waive the right to:

Trial by jury;
Participation in a class, joint, or representative action.

11. SEVERABILITY

If any provision of this Agreement is held to be invalid, illegal, or unenforceable in any respect under applicable law, such provision shall be deemed modified to the minimum extent necessary to render it valid and enforceable while preserving its intent. If modification is not possible, the invalid provision shall be severed, and the remaining provisions shall continue in full force and effect.

12. ENTIRE AGREEMENT

This document constitutes the entire agreement between you and MinkMap regarding indemnification and liability. It supersedes any prior representations, discussions, or informal agreements.

This Legal Disclaimer (“Disclaimer”) is issued by MinkMap Inc. (“MinkMap,” “we,” “our,” or “us”), a Canadian corporation headquartered in Toronto, Ontario. It applies to all users (“User,” “you,” “your”) who access, install, download, or otherwise interact with any MinkMap product, website, software, service, or tool (collectively, the “Service”).

1. TOOL FOR DEVELOPERS ONLY

MinkMap is provided strictly as a developer simulation tool to test geolocation features, debug GPS-based apps, and experiment with virtual mobility systems.

MinkMap is not a consumer product. It is not intended for entertainment, gaming, dating, social manipulation, or any activity outside lawful technical development and research.

2. NO AFFILIATION OR ENDORSEMENT

MinkMap is an independent, unaffiliated entity. We are not endorsed by, affiliated with, or partnered with any third-party platform or company, including but not limited to:

Apple Inc.
Google LLC
Snap Inc. (Snapchat)
Meta Platforms Inc. (Facebook, Instagram)
ByteDance Ltd. (TikTok)
Niantic Inc. (Pokémon GO)
Match Group (Tinder)
Uber Technologies Inc.
Any government agency

Use of their names in our documentation or materials is purely for identification purposes and does not imply any form of relationship.

2.1. THIRD-PARTY TRADEMARKS AND LOGOS

All third-party logos, trademarks, service marks, trade names, brand names, and platform icons referenced within the MinkMap Service (including but not limited to Snapchat®, TikTok®, Instagram®, Facebook®, Google Maps®, Apple®, Pokémon GO®, and Niantic®) are the property of their respective owners.

MinkMap Inc. does not claim ownership of any third-party intellectual property, nor does the use of such logos imply endorsement, sponsorship, or affiliation with the trademark holders. All references are for descriptive and identification purposes only, in accordance with applicable fair use and nominative use doctrines.

3. USER RESPONSIBILITY CLAUSE

You are entirely and solely responsible for how you use MinkMap, including:

Whether your use complies with local, federal, or international law;
Whether your use complies with the Terms of Service of any third-party app, website, platform, or game;
All resulting consequences, including device issues, account suspensions, data loss, and third-party bans.

MinkMap does not and cannot monitor or control your specific use cases. You assume 100% of all risk.

4. NO GUARANTEES

We make no representations, warranties, or guarantees regarding:

Functionality with specific devices, operating systems, or platform versions;
Compatibility with future OS updates, app changes, or system policies;
Efficacy of GPS spoofing, simulation, or developer test commands;
Ability to bypass platform detection, verification, or enforcement measures.

5. DISCLAIMER OF WARRANTIES

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.”

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MINKMAP DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

WARRANTIES OF MERCHANTABILITY;
FITNESS FOR A PARTICULAR PURPOSE;

TO THE FULLEST EXTENT PERMITTED BY LAW, MINKMAP DISCLAIMS ALL LIABILITY FOR:

PERSONAL INJURY OR PROPERTY DAMAGE;
LOST PROFITS OR ECONOMIC DAMAGES;
LOSS OF DATA, DEVICE MALFUNCTION, OR CORRUPTION;
THIRD-PARTY BANS, ACCOUNT LOCKOUTS, OR PLATFORM ACTIONS;
LEGAL PENALTIES, FINES, INVESTIGATIONS, OR ENFORCEMENT ACTIONS ARISING FROM USER CONDUCT.

7. PLATFORM VIOLATION WARNING

Using MinkMap to simulate a location may be considered a violation of third-party terms of service or end-user license agreements.

You are solely responsible for verifying and understanding any such restrictions before proceeding. MinkMap is not liable for any account termination, ban, or platform action taken against you by:

Snapchat
TikTok
Facebook
Instagram
Pokémon GO
Any other mobile or web application

8. CRIMINAL MISUSE

MinkMap does not condone or support criminal use, including but not limited to:

Immigration fraud;
Law enforcement evasion;
Harassment, stalking, or surveillance;
Social engineering or catfishing;
Financial fraud or location-based deception.

We will cooperate fully with law enforcement if we become aware of unlawful usage.

9. EXPORT & SANCTIONS COMPLIANCE

You may not use MinkMap if:

You are located in or acting on behalf of a country subject to Canadian, U.S., or EU sanctions;
You are on any denied, prohibited, or watch list maintained by a government authority.

Violation of this clause may result in immediate account termination and potential reporting to government agencies.

10. NO WARRANTY OF SERVICE CONTINUITY

MinkMap does not guarantee that the Service will:

Remain available in any jurisdiction;
Be continuously updated or supported;
Remain compatible with external services;
Continue to offer spoofing or simulation features indefinitely.

We may modify, restrict, or discontinue the Service at any time, with or without notice, and without liability.

11. NO LEGAL RELIANCE

This document does not constitute legal advice. Use of MinkMap does not establish a client, partnership, fiduciary, or employer-employee relationship between you and us.

12. GOVERNING LAW

This Disclaimer is governed by and shall be construed under the laws of the Province of Ontario, Canada. All disputes are subject to binding arbitration in accordance with the MinkMap Terms of Service.

13. SEVERABILITY

If any provision of this Disclaimer is found to be unenforceable, it shall be modified to the minimal extent required, and the remainder of the Disclaimer shall remain in full force and effect.

14. RESTRICTED JURISDICTIONS

MinkMap does not operate in, and disclaims all liability for use in, countries or territories under comprehensive embargoes or restrictions by Canada, the U.S., the UK, or the EU, including but not limited to: North Korea, Iran, Syria, Cuba, Russia (Crimea, Donetsk, Luhansk), and others designated by sanctioning bodies. Users located in or acting on behalf of restricted entities are strictly prohibited from accessing the Service.

15. LOCAL LAW SUPREMACY & CONSUMER RIGHTS

Nothing in this Agreement shall exclude, restrict, or modify any rights or remedies you may have under applicable consumer protection laws that cannot be lawfully excluded, restricted, or modified. In the event any provision of this Agreement conflicts with such laws, those non-waivable rights shall prevail to the minimum extent required by law.

If you believe that your copyrighted work has been used or posted on MinkMap without your authorization, your notice must include:

A physical or electronic signature of the copyright owner or authorized agent;
Identification of the copyrighted work claimed to be infringed;
Identification of the infringing material and its location (include URL or file name);
Your contact information (full legal name, mailing address, phone number, and email);
A statement that you have a good faith belief the use is unauthorized;
A statement, under penalty of perjury, that the information in the notice is accurate and that you are the copyright owner or authorized to act on behalf of the owner.

We will reject incomplete notices.

4. TAKEDOWN PROCEDURE

Upon receiving a valid DMCA notice, MinkMap will:

Promptly investigate the claim;
Remove or disable access to the allegedly infringing material;
Notify the user responsible for the material;
Document and retain the takedown request internally.

MinkMap has no obligation to notify other users or the public.

5. USER COUNTER-NOTICE

If you believe that your content was removed in error or misidentification, you may submit a counter-notification that must include:

Your physical or electronic signature;
Identification of the material and its previous location before removal;
A statement under penalty of perjury that the material was removed by mistake or misidentification;
Your full name, address, telephone number, and email;
A statement consenting to the jurisdiction of a federal court in your district (or Ontario, Canada if outside the U.S.);
A statement that you accept service of process from the original claimant.

If we receive a valid counter-notice, we may restore the content within 10–14 business days unless the original claimant files a court action to restrain it.

6. REPEAT INFRINGER POLICY

We maintain a strict zero-tolerance policy toward repeat copyright infringers. If a user is found to violate this Policy more than once, we may:

Suspend or permanently ban the account;
Remove all associated content;
Report the user to appropriate authorities.

MinkMap reserves the right to take action even if the infringing party is unaware of the violation.

7. SAFE HARBOR LIMITATION OF LIABILITY

Under the DMCA and other applicable law:

MinkMap acts as a neutral software service provider, not a publisher or content owner;
We do not pre-screen, monitor, or edit user-generated content unless legally obligated;
We are not liable for infringing content uploaded or posted by users unless we fail to respond to valid takedown requests.

MinkMap claims full protection under DMCA Safe Harbor Provisions (17 U.S.C. § 512(c)).

9. GOVERNING LAW

Addendum to MINKMAP Terms of Service and Policies

This Addendum forms a legally binding part of the MINKMAP Terms of Service and supplements all agreements referenced therein. It is intended to provide additional protection to MinkMap Inc. by addressing critical legal and compliance topics not explicitly covered in the base document. In the event of conflict between the Terms of Service and this Addendum, the provisions of this Addendum shall control.

SECTION 1: Data Processing Addendum (DPA)

Effective Date: 29 June 2025

This DPA is entered into between the User ("Controller") and MinkMap Inc. ("Processor") and applies where MinkMap Inc. processes personal data subject to GDPR, UK GDPR, PIPEDA, or other data privacy frameworks.

1.1 Scope of Processing

MinkMap processes personal data solely to provide location simulation services, software operation, and technical support. It does not sell, license, or share personal data with any third party except as required to comply with legal obligations.

1.2 Processor Obligations

Process data only under documented instructions from the Controller.
Maintain comprehensive technical and organizational measures to ensure the confidentiality, integrity, availability, and resilience of systems and services.
Ensure all persons authorized to process data are subject to legally binding confidentiality obligations.
Assist Controller with data subject access requests, impact assessments, and consultations with supervisory authorities.

1.3 Subprocessors

MinkMap may use subprocessors under written agreements that ensure adequate protection consistent with this DPA. The list of subprocessors will be made available upon request.

1.4 Security Breach Notification

In the event of a personal data breach, MinkMap shall notify the Controller without undue delay and shall provide reasonable assistance to mitigate the impact of the breach.

1.5 Audit Rights

Controller may conduct an audit, limited to once annually, upon 30 days' notice, during normal business hours, to verify compliance with this DPA. MinkMap reserves the right to redact confidential information.

1.6 International Data Transfers

Where data is transferred outside the EEA/UK, such transfers shall be governed by Standard Contractual Clauses (SCCs) and any supplementary safeguards as required under the GDPR/UK GDPR.

SECTION 2: Accessibility Statement

MinkMap is committed to providing an inclusive and accessible experience for all users, including those with disabilities.

2.1 Standards

MinkMap follows WCAG 2.2 Level AA guidelines to make its web and mobile applications usable by individuals with vision, hearing, motor, and cognitive impairments.

2.2 Compatibility

Our platforms are designed to function with widely used assistive technologies such as screen readers (e.g., NVDA, VoiceOver), keyboard navigation, and alternative input devices.

2.3 User Feedback

Users can report accessibility issues to accessibility@minkmap.com. We respond to accessibility-related requests within seven (7) business days and will promptly resolve any compliance concerns.

2.4 Ongoing Compliance

MinkMap conducts regular audits and updates to ensure continuous improvement of accessibility features.

SECTION 3: Export Control and Sanctions Compliance

Users agree to comply fully with all applicable export laws and sanctions regulations.

3.1 User Warranties

The User represents and warrants that:

They are not located in, a national of, or affiliated with any country subject to economic sanctions by Canada, the United States, European Union, or United Nations.
They are not identified on any government export denial list, including but not limited to the U.S. Treasury Department’s Specially Designated Nationals List, U.S. Entity List, or similar foreign restrictions.

3.2 Liability and Indemnification

Users shall indemnify and hold harmless MinkMap Inc. from any fines, penalties, or legal actions arising from violations of applicable export control laws or sanctions regulations.

SECTION 4: Force Majeure

MinkMap Inc. shall not be liable for any failure to perform due to causes beyond its reasonable control, including but not limited to:

Acts of God or natural disasters
War, terrorism, or armed conflict
Cyberattacks or digital sabotage
Governmental restrictions, regulatory actions, or platform policy changes
Pandemic outbreaks, quarantine measures, or public health emergencies
Internet outages or third-party service disruptions

Performance obligations shall be suspended during the duration of the force majeure event and resume thereafter.

SECTION 5: No Waiver; Rights Survival

5.1 No Waiver

MinkMap’s failure to enforce any provision or right shall not constitute a waiver or limitation of that right. All rights and remedies are cumulative and may be enforced concurrently.

5.2 Survival

The terms of indemnity, limitation of liability, dispute resolution, and confidentiality shall survive termination or expiration of any MinkMap agreement.

SECTION 6: Insurance Requirements (Enterprise Users)

Enterprise Users, including agencies, developers, and resellers, shall:

Maintain Commercial General Liability Insurance (CGL) with limits of no less than CAD $1,000,000 per occurrence;
Include MinkMap Inc. as an additional insured party;
Provide a certificate of insurance upon request.

Failure to comply constitutes a material breach and may result in termination of service access.

SECTION 7: Enhanced Limitation of Liability

To the fullest extent permitted by law, MinkMap Inc. disclaims all liability for:

Direct, indirect, incidental, punitive, or consequential damages;
Lost profits, lost data, or reputational harm;
Claims relating to third-party terms (e.g., Google, Apple, Niantic);
Business interruption or platform bans;
Personal injury, property damage, or device malfunction caused by use of the Service.

Even if advised of the possibility of such damages, MinkMap shall not be liable beyond the amount paid by the user in the preceding twelve (12) months.

SECTION 8: Comprehensive Risk Assumption & Indemnity Waiver

8.1 Total Risk Assumption

User accepts full legal, technical, and moral responsibility for all outcomes arising from use of MinkMap services, including but not limited to:

Misrepresentation of location;
Breach of app/platform terms;
Violations of local, regional, or international law;
Third-party legal actions.

8.2 Indemnification

User agrees to indemnify, defend, and hold harmless MinkMap Inc., its affiliates, officers, directors, employees, contractors, and licensors against any and all claims, losses, liabilities, damages, or expenses (including attorney fees) arising out of or relating to:
