MINKMAP END USER LICENSE AGREEMENT (EULA)

IMPORTANT: THIS IS A LEGAL CONTRACT BETWEEN YOU AND MINKMAP INC.
PLEASE READ CAREFULLY. BY INSTALLING, DOWNLOADING, ACCESSING, OR USING THE MINKMAP SOFTWARE ("SOFTWARE"), YOU (“USER”) AGREE TO BE LEGALLY BOUND BY THIS END USER LICENSE AGREEMENT ("EULA"). IF YOU DO NOT AGREE TO THE TERMS, DO NOT INSTALL OR USE THE SOFTWARE.
This EULA governs your use of the MinkMap desktop and mobile software ("Software"), provided by MinkMap Inc., an Ontario corporation (“MinkMap,” “we,” “us,” or “our”).
MinkMap grants you a limited, non-exclusive, non-transferable, revocable license to:
You may not rent, lease, loan, sell, sublicense, distribute, publish, or publicly display the Software.
This Software is a developer tool, intended for ethical testing and simulation of virtual location data. You acknowledge that:

ANY UNAUTHORIZED USE SHALL RESULT IN AUTOMATIC TERMINATION OF THIS LICENSE.
The Software, its source code, architecture, graphics, documentation, trademarks, and all related intellectual property are owned exclusively by MinkMap.
You do not gain ownership or proprietary rights through use of the Software.
MinkMap may, at its sole discretion:
You agree that updates are subject to this EULA unless accompanied by new terms.
This EULA remains in effect unless and until terminated by you or MinkMap.
Sections 4, 7, 8, 9, and 10 survive termination.
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES, EXPRESS OR IMPLIED.
WE EXPRESSLY DISCLAIM ALL WARRANTIES INCLUDING BUT NOT LIMITED TO:
USE OF THE SOFTWARE IS ENTIRELY AT YOUR OWN RISK.
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
You agree to defend, indemnify, and hold harmless MinkMap, its employees, officers, affiliates, contractors, and licensors from and against any and all claims, damages, losses, legal fees, penalties, and liabilities arising from:

Violation of export laws will result in immediate license termination and may be reported to appropriate authorities.
This Agreement is governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada.
Any dispute shall be resolved by binding arbitration in Toronto, Ontario, administered under the Canadian Arbitration Association.
Class actions are expressly waived.
This EULA constitutes the complete and exclusive agreement between you and MinkMap with respect to the Software and supersedes all prior agreements, representations, and understandings.
If any section is deemed unenforceable, the remainder remains in full force and effect.

MINKMAP ACCEPTABLE USE POLICY (AUP)

This Acceptable Use Policy (“AUP”) outlines the rules and restrictions that govern your use of the MinkMap services, including all related software, websites, APIs, networks, and tools (collectively, the “Service”) offered by MinkMap Inc. (“MinkMap,” “we,” “us,” or “our”).
This AUP is incorporated by reference into our Terms of Service ("ToS"), End User License Agreement ("EULA"), Privacy Policy, and all other binding legal agreements.
MinkMap provides geolocation simulation and developer testing tools for lawful, ethical, and research-related purposes.
YOU MAY ONLY USE MINKMAP FOR LEGITIMATE DEVELOPMENT, DEBUGGING, TESTING, OR EDUCATIONAL PURPOSES.
You may not use the Service for any activity that:

MINKMAP REFUND & BILLING POLICY

THIS POLICY GOVERNS ALL PAYMENTS, PRICING, REFUNDS, CHARGEBACKS, SUBSCRIPTIONS, AND BILLING-RELATED MATTERS BETWEEN YOU AND MINKMAP INC.
This Refund & Billing Policy (“Policy”) forms an integral part of the MinkMap Terms of Service ("ToS"), End User License Agreement ("EULA"), and all other binding agreements between the user (“you,” “your”) and MinkMap Inc. (“MinkMap,” “we,” “us,” or “our”).
MinkMap offers a subscription-based model:
You authorize us to charge your provided payment method automatically at the end of each billing cycle, unless you cancel your subscription in advance via your account portal.
All charges are in U.S. Dollars (USD) unless otherwise indicated.
MinkMap reserves the absolute, unilateral, and non-negotiable right to:

This document constitutes the entire agreement between you and MinkMap regarding indemnification and liability. It supersedes any prior representations, discussions, or informal agreements.

This Legal Disclaimer (“Disclaimer”) is issued by MinkMap Inc. (“MinkMap,” “we,” “our,” or “us”), a Canadian corporation headquartered in Toronto, Ontario. It applies to all users (“User,” “you,” “your”) who access, install, download, or otherwise interact with any MinkMap product, website, software, service, or tool (collectively, the “Service”).
MinkMap is provided strictly as a developer simulation tool to test geolocation features, debug GPS-based apps, and experiment with virtual mobility systems.
MinkMap is not a consumer product. It is not intended for entertainment, gaming, dating, social manipulation, or any activity outside lawful technical development and research.
MinkMap is an independent, unaffiliated entity. We are not endorsed by, affiliated with, or partnered with any third-party platform or company, including but not limited to:

MinkMap Inc. does not claim ownership of any third-party intellectual property, nor does the use of such logos imply endorsement, sponsorship, or affiliation with the trademark holders. All references are for descriptive and identification purposes only, in accordance with applicable fair use and nominative use doctrines.
You are entirely and solely responsible for how you use MinkMap, including:

If any provision of this Disclaimer is found to be unenforceable, it shall be modified to the minimal extent required, and the remainder of the Disclaimer shall remain in full force and effect.
14. RESTRICTED JURISDICTIONS
MinkMap does not operate in, and disclaims all liability for use in, countries or territories under comprehensive embargoes or restrictions by Canada, the U.S., the UK, or the EU, including but not limited to: North Korea, Iran, Syria, Cuba, Russia (Crimea, Donetsk, Luhansk), and others designated by sanctioning bodies. Users located in or acting on behalf of restricted entities are strictly prohibited from accessing the Service.
15. LOCAL LAW SUPREMACY & CONSUMER RIGHTS
Nothing in this Agreement shall exclude, restrict, or modify any rights or remedies you may have under applicable consumer protection laws that cannot be lawfully excluded, restricted, or modified. In the event any provision of this Agreement conflicts with such laws, those non-waivable rights shall prevail to the minimum extent required by law.

This Digital Millennium Copyright Act (“DMCA”) Policy outlines how MinkMap handles copyright complaints and takedown requests relating to content hosted or published through its services (the “Service”).

Addendum to MINKMAP Terms of Service and Policies
This Addendum forms a legally binding part of the MINKMAP Terms of Service and supplements all agreements referenced therein. It is intended to provide additional protection to MinkMap Inc. by addressing critical legal and compliance topics not explicitly covered in the base document. In the event of conflict between the Terms of Service and this Addendum, the provisions of this Addendum shall control.
Effective Date: 29 June 2025
This DPA is entered into between the User ("Controller") and MinkMap Inc. ("Processor") and applies where MinkMap Inc. processes personal data subject to GDPR, UK GDPR, PIPEDA, or other data privacy frameworks.
MinkMap processes personal data solely to provide location simulation services, software operation, and technical support. It does not sell, license, or share personal data with any third party except as required to comply with legal obligations.
MinkMap may use subprocessors under written agreements that ensure adequate protection consistent with this DPA. The list of subprocessors will be made available upon request.
In the event of a personal data breach, MinkMap shall notify the Controller without undue delay and shall provide reasonable assistance to mitigate the impact of the breach.
Controller may conduct an audit, limited to once annually, upon 30 days' notice, during normal business hours, to verify compliance with this DPA. MinkMap reserves the right to redact confidential information.
Where data is transferred outside the EEA/UK, such transfers shall be governed by Standard Contractual Clauses (SCCs) and any supplementary safeguards as required under the GDPR/UK GDPR.
MinkMap is committed to providing an inclusive and accessible experience for all users, including those with disabilities.
MinkMap follows WCAG 2.2 Level AA guidelines to make its web and mobile applications usable by individuals with vision, hearing, motor, and cognitive impairments.
Our platforms are designed to function with widely used assistive technologies such as screen readers (e.g., NVDA, VoiceOver), keyboard navigation, and alternative input devices.
Users can report accessibility issues to accessibility@minkmap.com. We respond to accessibility-related requests within seven (7) business days and will promptly resolve any compliance concerns.
MinkMap conducts regular audits and updates to ensure continuous improvement of accessibility features.
Users agree to comply fully with all applicable export laws and sanctions regulations.
The User represents and warrants that:
Users shall indemnify and hold harmless MinkMap Inc. from any fines, penalties, or legal actions arising from violations of applicable export control laws or sanctions regulations.
MinkMap Inc. shall not be liable for any failure to perform due to causes beyond its reasonable control, including but not limited to:
Performance obligations shall be suspended during the duration of the force majeure event and resume thereafter.
MinkMap’s failure to enforce any provision or right shall not constitute a waiver or limitation of that right. All rights and remedies are cumulative and may be enforced concurrently.
The terms of indemnity, limitation of liability, dispute resolution, and confidentiality shall survive termination or expiration of any MinkMap agreement.
Enterprise Users, including agencies, developers, and resellers, shall:
